These Terms of Service (“Terms”) govern your purchase and use of Visual Update Pro (the “Software”), provided by solicus, Inhaber: Soner Boztas (“solicus”, “we”, “us”, or “our”). By purchasing, downloading, installing, or using the Software, you (“Customer” or “you”) agree to be bound by these Terms.

1. License Grant

  1. Upon payment of the applicable license fee, solicus grants you a non-exclusive, non-transferable, and non-sublicensable right to install and use the Software in accordance with these Terms.
  2. The license is perpetual for the version of the Software available at the time of purchase.
  3. You may continue to use your licensed version indefinitely, even after your update period expires.
  4. The Software remains the intellectual property of solicus.

2. Updates and Support

  1. A commercial license includes two (2) years of software updates (both major and minor versions) and priority technical support via e-mail starting from the date of purchase.
  2. After this period, you may continue to use your existing version, but you will no longer receive updates or support unless you renew your license as described on our website.
  3. solicus reserves the right to change the update policy for future license periods, but not retroactively for already purchased licenses.

3. License Restrictions

You may not:

  • modify, reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software;
  • resell, rent, lease, lend, or distribute the Software or license key to third parties;
  • remove or alter any proprietary notices, trademarks, or license mechanisms;
  • use the Software in violation of applicable laws or regulations.

4. Delivery and Activation

  1. The Software and corresponding license key are delivered electronically after payment confirmation.
  2. Distribution is via our website (including installforge.net) and delivery is handled through our payment partner Paddle.
  3. Paddle acts as the merchant of record, managing payment processing, invoicing, and VAT compliance.

5. Payments and Refunds

  1. All prices are listed on our official websites and are processed by Paddle in accordance with their Terms of Sale.
  2. Payments include any applicable VAT or taxes based on the Customer’s location.
  3. Refund requests may be handled through Paddle’s refund policy or by contacting solicus at the e-mail address below.
  4. solicus reserves the right to deny refund requests for reasons including, but not limited to, license misuse or excessive refund history. Statutory consumer rights remain unaffected.

6. Data Protection and Privacy

  1. solicus processes personal data in compliance with the EU General Data Protection Regulation (GDPR) and other applicable data protection laws.
  2. Details about how we collect, store, and process your personal information are described in our Privacy Policy.
  3. The payment provider Paddle acts as a separate data controller for transaction processing.

7. Warranty Disclaimer

  1. The Software is provided “as is” without warranty of any kind, either express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.
  2. solicus does not warrant that the Software will be error-free or that operation will be uninterrupted.
  3. Customers are responsible for creating regular backups of their data.

8. Limitation of Liability

  1. To the maximum extent permitted by law, solicus shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business interruption.
  2. solicus’s total liability under these Terms shall not exceed the amount paid by the Customer for the Software license.
  3. Mandatory consumer rights under German or EU law remain unaffected.

9. Termination

  1. solicus may terminate this license if you materially breach these Terms and fail to remedy such breach within 14 days after written notice.
  2. Upon termination, you must cease using the Software and delete all copies.
  3. Sections related to intellectual property, warranty disclaimer, limitation of liability, and governing law shall survive termination.

10. Governing Law and Jurisdiction

  1. These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict of law provisions.
  2. If you are a business customer (B2B), the exclusive place of jurisdiction is Braunschweig, Germany.
  3. If you are a consumer (B2C) within the EU, you may also bring proceedings in your country of residence under applicable consumer protection laws.

11. Changes to These Terms

solicus reserves the right to modify or update these Terms at any time. The current version will always be published on our website. Continued use of the Software after such changes constitutes acceptance of the revised Terms.
